Investment Opportunities for Business Segment Growth in Southeast Asia

The Challenge

The client is a Japanese medical manufacturer and distributor. They were considering a Mergers & Acquisitions (M&A) strategy to expand their business, following the acquisition of a Singapore-based company involved in the design and construction of medical-related facilities. It looked to buy a company that holds a medical equipment license in Singapore, with the aim of growing its business.

The Process

We conducted in-depth market research on the macroeconomic trends in the ASEAN region and the medical device industry to compile a list of approximately 1,200 acquisition targets. To narrow down the list, we identified three criteria which were based on sales data availability, revenue figures and primary business segments to shortlist 40 relevant companies. We then segmented them based on their primary business function in the value chain. Further evaluation was conducted for three companies for in-depth research and target interviews.

The Result

At this stage of the M&A process, we were able to understand the client’s business growth needs in relation to the market opportunity in ASEAN and identify relevant partners that our client could approach to expand their business. We also identified three potential acquisition targets from the shortlist, and provided our clients with a determination of the potential market size for medical devices in the region.

Cross-border M&A - Acquisition of an Electronics Distribution Company in India

The Challenge

The client (buy-side) was looking to acquire an electronics distribution company in India and procured our services in Commercial, Financial and Tax Due Diligence and to conduct a business valuation. The plan was to first acquire a minority 25% interest, then increase it to majority shareholding depending on the performance of the target. We were tasked to uncover risks from a commercial, financial and tax perspective in a foreign market where our client had no presence.

The Process

Due diligence involved robust investigations into:

  • The business through market research, interviews with competitors, suppliers, and customers,
  • The accounting records kept by the target and the feasibility of the business plan, and
  • The historical tax records and compliance to tax laws.

Our partners in India helped to ensure that we covered all bases. Valuation involved multiple scenarios that gave the client an idea of what the value of the business would be like with different assumptions.

The Results

Based on the findings from the due diligence investigations, we were able to give risk mitigation advice and come up with countermeasures to use in the negotiations.

Through our partners, we learned of unique regulatory requirements in India where it was necessary to hire a separate independent valuer to assess the business value for submission to the regulators. There were also other regulatory requirements which needed prior preparation and could jeopardize the timely closing of the deal if ignored. We supported the negotiation process and facilitated the smooth closing of the deal.

Currently, the client is happy with the purchase and has increased its interest from minority to majority.
